TERMS AND CONDITIONS OF SERVICE OF ADRENALINEXPRESS LIMITED (ADRXP)

These Terms and Conditions of Service (“Terms”) govern access to and use of the ADRXP multi-vendor e-commerce platform operated by Adrenaline Express Limited, effective from the 10th day of June, 2025, with its registered address at Regina Club Road, Awka, Anambra State, Nigeria.

By accessing, registering on, or using ADRXP as a customer, vendor, or visitor, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the platform.

1. Definitions

• “Company”, “ADRXP”, “We”, “Us”, or “Our” refers to Adrenaline Express Limited.
• “Platform” refers to the ADRXP website, mobile applications, and related services.
• “User” refers to any person accessing or using the platform.
• “Customer” refers to a user who purchases products on ADRXP.
• “Vendor” refers to an individual or business registered to sell products on ADRXP.
• “Products” refers to goods listed by vendors on the platform.
• “Order” refers to a purchase completed through ADRXP.

2. Nature of the Platform

ADRXP is a multi-vendor e-commerce marketplace that connects customers with independent third-party vendors.

Vendors list products for sale, while ADRXP manages shipping, delivery, and logistics either directly or through approved logistics partners.
ADRXP does not manufacture products and does not act as the vendor unless expressly stated.

3. User Accounts

• Users may be required to create an account to access certain services.
• You are responsible for maintaining the confidentiality of your account credentials.
• All information provided must be accurate and current.
• ADRXP is not responsible for losses resulting from unauthorized access caused by user negligence.

4. Vendor Responsibilities

Vendors agree to:

• List only lawful, genuine, and accurately described products.
• Ensure products meet quality and safety standards.
• Properly package products and make them available for pickup or drop-off as required by ADRXP.
• Deliver products to ADRXP logistics points within specified timelines.
• Comply with all applicable Nigerian laws and platform policies.

Vendors do not deliver products directly to customers, unless expressly authorized in writing by ADRXP.

5. Orders, Payments & Commissions

• Orders are confirmed only after successful payment.
• Payments are processed through secure payment gateways provided by ADRXP.
• ADRXP may deduct applicable commissions, service fees, logistics charges, or transaction fees from vendor earnings.
• Vendors are responsible for applicable taxes unless otherwise stated.

6. Shipping, Delivery & Fulfillment

Shipping & Logistics

• ADRXP is solely responsible for coordinating shipping, delivery, and logistics for eligible orders.
• Vendors must hand over products to ADRXP or its logistics partners in a timely manner.
• Delivery timelines are estimates and may vary due to traffic, weather, operational constraints, or force majeure events.
• ADRXP reserves the right to determine delivery methods, routes, and logistics partners.

Delivery Conditions

• Customers must ensure correct delivery information and availability at delivery addresses.
• Failed deliveries due to incorrect details or unavailability may attract additional charges.
• ADRXP is not responsible for delays caused by inaccurate information provided by customers.

7. Refunds, Returns & Disputes

• Refunds and returns are governed by ADRXP’s official refund and return policy.
• Returned products may be inspected before refunds are processed.
• ADRXP may mediate disputes between customers and vendors but is not responsible for vendor product defects beyond logistics handling.

8. Prohibited Products & Conduct

Users and vendors must not:

• List illegal, counterfeit, restricted, or prohibited items.
• Engage in fraud, misrepresentation, or deceptive practices.
• Abuse the platform or interfere with its operation.

ADRXP reserves the right to remove listings, suspend accounts, or take legal action where necessary.

9. Limitation of Liability

ADRXP shall not be liable for:

• Vendor product defects, misrepresentations, or warranty claims.
• Losses caused by force majeure events such as natural disasters or civil unrest.
• Indirect, incidental, or consequential damages.

ADRXP’s liability relating to logistics services, where applicable, shall not exceed the value of the affected transaction unless otherwise agreed.

10. Data Protection

ADRXP processes personal data in compliance with the Nigeria Data Protection Regulation (NDPR).

11. Intellectual Property

All content on ADRXP, including logos, trademarks, designs, text, and software, is the property of Adrenaline Express Limited and is protected under applicable laws. Unauthorized use is prohibited.

12. Suspension & Termination

ADRXP may suspend or terminate any account where:

• These Terms are violated.
• False or misleading information is provided.
• Activities threaten platform integrity or user safety.

13. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, and all disputes shall be subject to Nigerian jurisdiction.

14. Amendments

ADRXP reserves the right to amend these Terms at any time. Continued use of the platform after updates constitutes acceptance of the revised Terms.
